POSITION SUMMARY

CVR Energy is seeking an experienced attorney to serve as its Vice President -- Associate General Counsel responsible for corporate governance, securities, subsidiary management, labor & employment and related matters. Reporting directly to the General Counsel, the Vice President -- Associate General Counsel must be a detail-oriented legal technician with sound judgment, strong work ethic and an ability to balance legal concerns to efficiently meet business objectives. As member of a small Legal Services organization, the Vice President -- Associate General Counsel must be a team player willing to function both independently and collaboratively, efficiently prioritizing competing business needs in a fast-paced environment.

EDUCATION REQUIREMENTS

Juris Doctorate from an ABA-accredited law school required; top 10% of the class and/or law review preferred .

Admission to the State Bar of Texas required, and must have remained in good standing in any jurisdiction in which a license has been issued.

EXPERIENCE REQUIREMENTS

At least 10+ years of experience as a licensed and practicing attorney in the energy industry, preferably including large law firm experience.

Extensive drafting and negotiating skills and experience, including a deep knowledge and understanding of corporate governance, securities law and regulatory matters relating to a refining and marketing company.

Strong communication and interpersonal skills with the ability to create effective working relationships cross-functionally, including interfacing confidently with internal and external stakeholders on legal and business matters.

Sound judgment, decision making and organizational skills with a flexible, collaborative attitude, a desire to continually learn new concepts and an unqualified commitment to honesty, responsibility and integrity.

A flexible, innovative and business-minded focus with a pragmatic approach to problem solving, an ability to adapt to changing requirements, schedules and priorities, and the skill to socialize ideas, make recommendations and gather team consensus, all while maintaining high levels of integrity and discretion.

Fluency in English, both oral and written, required.

Ability to travel, as needed.

MAJOR ACCOUNTABILITIES

Corporate Governance and SEC Reporting. Work closely with the General Counsel in managing corporate governance obligations including Board of Directors and Committee support, meeting management and preparation; NYSE compliance including interim and annual reporting; SEC reporting including drafting and support relating to current, periodic and annual reports on Forms 3, 4, 8-K, 10-Q, 10-K and DEF 14A; subsidiary management for multiple entities; and related matters.

Finance. Work closely with the General Counsel and Finance & Accounting team on finance matters relating to existing and future debt facilities.

M&A Support. Work closely with the General Counsel on M&A activity including due diligence, schedule development, contract review and related matters.

Regulatory Support. Plan, conduct, manage and/or supervise complex legal, regulatory and compliance assignments related to refining and fertilizer operations including maintaining a working knowledge of environmental, occupational health and safety and related regulations.

Compliance. Demonstrate a commitment to ethics and integrity and the Company's Mission and Values, and serve as a brand ambassador in support of the Company's Compliance function. Lead the Company's Integrity Week, Policy Committee and related activities including stewardship of the Company's corporate policy program including policy development and maintenance, training and enforcement.

Labor & Employment. Manage all legal matters relating to represented and non-represented workforce including dispute resolution, EEOC complaints, benefits (including service on 401(k) committees), LTIP administration and related matters.

Special Projects. Execute and manage special projects working collaboratively across business units to develop, implement and manage improvements to business processes to increase efficiency while balancing legal risks with business objectives.

GC Support. Serve as second to the General Counsel providing comprehensive, business-minded legal support to executive management and controlling stockholder.
