transformation. Job Description Microvast is seeking a highly
experienced Senior Counsel – Corporate & Commercial to join the
legal team, with a primary focus on drafting and negotiating all
corporate, commercial, and transactional matters. This role will
provide direct legal support for corporate growth initiatives,
strategic partnerships, project development, and financing
transactions, whiles ensuring sound governance and compliance
practices. Other matters that s/he will also support include legal
guidance relating to data privacy, procurement, employment,
manufacturing, EHS, real estate, human resources, and other general
commercial contracting and other matters. Key Responsibilities:
Drafts, reviews, and negotiates a wide range of commercial
contracts with a very high degree of independence in support of the
business for the US and European region. Ability to draft,
negotiate and work on and manage a high volume and wide range of
commercial contracts, including employment agreement, supply
agreements, IP licensing agreements, technical agreements, warranty
agreements, development agreements, services agreements, and
confidentiality agreements, materials agreement, licensing
agreements, consulting agreements, etc Provide legal advice to the
U.S. team on wide range of legal issues, including assisting with
litigations. Review redlines, negotiate and provide general
guidance to the business. Facilitate resolution of legal disputes
by drafting and responding to breach of contract claims. Develop
templates, playbooks, and negotiation strategies to support
efficiency and consistency across commercial operations. Support on
corporate governance frameworks, entity formation and structuring,
and intercompany agreements. Advise and counsel on a variety of
legal and compliance topics. Monitor emerging laws, regulations,
and policy development affecting energy and manufacturing
infrastructure in countries where company operations. Collaborate
with colleagues worldwide to ensure consistency in contracts and
risk allocation across Microvast’s various businesses. Support in
drafting of company policies as relating to business operations.
Handle miscellaneous legal tasks on an as-needed basis.
Qualifications Juris Doctor with a current license to practice in
Texas Minimum of 8 years of commercial contracts practice
experience, with a combination of law firm and in-house experience
preferred Excellent communication skills with business-level to
near native-level fluency in English, both verbal and written;
additional languages as a plus Strong interpersonal skills with the
ability to proactively identify problems, drive projects, make
complex cost/benefit assessments, and identify pragmatic legal and
business solutions Capability to work independently and
collaboratively while managing competing priorities in a
fast-paced, challenging environment Quick and flexible learning
ability with strong analytical skills, intellectual curiosity,
adaptability, and comfort with ambiguity and risk High standards,
impeccable integrity, ethical conduct, and sound judgment Possesses
clear and concise verbal and written communication skills and must
have excellent interpersonal communication skills. Team player with
strong interpersonal skills and the ability to proactively identify
problems, drive projects, make complex costs/benefit assessments,
identify pragmatic/creative legal and business solutions. Strong
computer skills (e.g., Microsoft Office Suite (Word, Excel,
PowerPoint, etc.), document management systems, and redlining
software). Must be detail-oriented and have strong organizational
skills. Ability to handle multiple tasks simultaneously, with the
ability to re-prioritize on short time frames. Ability to make
complex decisions based on the data available; drives to the finish
on all projects. Acts responsibly and conscientiously. Works under
pressure to meet specific deadlines. Works well both independently
and in a team environment; addresses differences fairly and
equitably; treats everyone as a preferred internal client.

and quick learner. Expected Compensation Annual salary benefits Pay
offered may vary depending on multiple individualized factors,
including market location, job-related knowledge, skills, and
experience. The total compensation package for this position may
